These Terms of Service (the "Terms") set out the conditions for use of the mobile application "Daye" (the "Service") provided by Keel Lab (the "Company"). Users shall use the Service after agreeing to these Terms.

Article 1 (Application)

These Terms are intended to define the conditions for providing the Service and the rights and obligations between users and the Company, and apply to all relationships between users and the Company relating to the use of the Service.

Article 2 (Registration)

Article 4 (User Content)

  • The rights to anniversaries, photos, notes, and other information posted or registered by users in the Service (the "User Content") belong to the user or the legitimate rights holder.
  • Users grant the Company, free of charge, the right to use, reproduce, back up, and display User Content to the extent necessary for providing and improving the Service and for analyzing defects.
  • Users warrant that the User Content does not infringe the rights of any third party.

Article 5 (Group Sharing Feature)

If a user joins a collaborative editing group, information registered within the group is shared with all members of the group. When registering a third party’s personal information (such as a date of birth) in a group, the user shall obtain the necessary consent from that third party.

Article 6 (Fees and Payment)

  • The Service provides features available free of charge and features provided through paid plans. The fees displayed within the app shall apply.
  • Purchase and renewal of paid plans are made through the App Store or Google Play, and the terms of each platform apply.
  • Subscriptions are automatically renewed unless cancellation is performed. Cancellation can be carried out from the settings screen of each platform.
  • Except as otherwise provided by law, the Company does not refund fees already paid.

Article 7 (Prohibited Acts)

Users shall not engage in the following acts when using the Service.

  • Acts that violate laws or public order and morals
  • Acts related to criminal activity
  • Acts that infringe the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company or any third party
  • Acts that destroy or interfere with the servers or network functions of the Service
  • Using the Service for commercial purposes (except where permitted by the Company)
  • Reverse engineering, decompiling, or modifying the Service
  • Unauthorized access, use of another user’s authentication credentials, or impersonating the Company or any third party
  • Accessing the Service by automated means such as bots or scraping
  • Other acts that the Company deems inappropriate

Article 8 (Suspension of the Service)

The Company may suspend or interrupt all or part of the Service without prior notice to users if it determines that any of the following events has occurred.

  • When performing maintenance, inspection, or updates of the Service
  • When the provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, communication line failures, or natural disasters
  • When the Company otherwise determines that provision of the Service is difficult

Article 9 (Usage Restrictions and Deregistration)

If a user violates any provision of these Terms, the Company may, without prior notice, restrict all or part of the user’s use of the Service or delete the user’s account.

Article 10 (Withdrawal)

Users may withdraw at any time via "Settings → Delete Account" within the app. After withdrawal, User Content will be deleted within a reasonable period and cannot be restored.

Article 11 (Disclaimer of Warranties and Limitation of Liability)

  • The Company does not warrant that the Service is fit for any particular purpose of the user, that it has the functions, accuracy, or usefulness expected, or that it will be free of defects.
  • The Service provides a reminder feature, but the Company is not liable for any damage incurred by users due to delays or non-delivery of notifications. For important schedules, use in combination with other means is recommended.
  • The scope of compensation for damages caused by reasons attributable to the Company shall be capped at the total amount of fees the user paid to the Company during the most recent 12 months. However, this does not apply in cases of willful misconduct or gross negligence by the Company.

Article 12 (Changes to Service Content)

The Company may change the content of the Service or discontinue its provision without notice to users, and shall not be liable for any damage incurred by users as a result.

Article 13 (Changes to the Terms)

The Company may change these Terms at any time without notice to users when it deems it necessary. The revised Terms shall take effect from the time they are posted on this website.

Article 14 (Handling of Personal Information)

Personal information acquired through use of the Service will be handled appropriately in accordance with the separately established Privacy Policy.

Article 15 (Governing Law and Jurisdiction)

  • These Terms shall be governed by and interpreted in accordance with the laws of Japan.
  • In the event of a dispute concerning the Service, the court having jurisdiction over the location of the Company’s head office shall have exclusive agreed jurisdiction.
